The current Chinese Company Law still has many shortcomings in terms of theoretical basis, institutional framework, and practical mechanism and therefore is unable to meet the demands of the deepening development of the market economy in China. Against the background of global modernization of company law, China must also think about reforming its own company law. This book takes the company law reform as its theme and discusses such macro issues as the direction and the overall framework of the company lawreform, as well as such concrete issues as the fiduciary duty under company law, the effect of the resolution of flawed shareholder meeting, the shareholders’ right to know, rules on the enterprise name registration, reverse denial of corporate personality, capital subscription system, scope of the shareholder’s obligation of contribution, and valuation adjustment mechanism, and embodies the insights of both theoretical and practical circles on these issues.
